Company Formation Checklist
The following information is required during the company formation process to register your limited company.
- Company Name
Choose a company name and check if it is available using our name check search box . If your company is a limited company make sure it ends with “Limited” or “LTD” and if your company is a public limited company make sure it ends with “Public Limited Company” or “PLC” to start your company registration. - Company Type & Business Activity
To register your company, you will need to choose a company type from the following: Limited (most popular for trading companies), Limited by Guarantee (for not for profit and charities), Public Limited (to offer shares to the public), Limited Liability Partnership (often used for firms of lawyers and accountants), Flat Management (often used by property developers), Ready Made & Off the Shelf (incorporated companies which have never traded) and Right to Manage (used by leaseholders). A SIC code (Standard Industrial Classification code) which identifies the nature and activity of a business to Companies House will need to be selected during the online company formation process. - Registered Office Address
A Registered Office Address is the company’s official address and is used by Companies House and HMRC to send official documents. It cannot be a PO Box or DX address and must be in the same country as your registered company. Your registered office address will be available to the public and must be used on all company stationery and websites. A director is responsible for managing operations and overseeing the day-to-day running of a company. You must have at least one director aged 16 years or older and provide the following information: full name, date of birth, nationality, occupation, service address and residential address. - Company Secretary Information
A company secretary is responsible for the company administration and is accountable for submitting the confirmation statement (previously annual return) and other important documents to Companies House. You are not required to appoint a company secretary but if you choose to you will need to provide the following information: full name, date of birth, nationality, occupation, service address and residential address. - Shareholder / Share Information
A shareholder owns part of a business by purchasing shares in a company. Shareholders are not involved in the day-to-day running of a company unless appointed as a director. A shareholder who is also a director will treat their roles independently from each other. You must have at least one shareholder and provide the following information: full name, date of birth, nationality, service address, residential address and three security details. - Person of Significant Control (PSC) Information
A Person of Significant Control (PSC) is an individual who owns or controls more than 25% of shares or voting rights in a company. The details a PSC needs to provide are full name, date of birth, nationality, service address, residential address, security questions and nature of control.
